Terms of service

Last updated:

These terms govern your use of SOPFlow, operated from Miami, Florida, United States. By creating an account through a signup notice linking to these terms, you agree to them. If you don't agree, don't use the service. If you're signing up on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

1. Acceptance of terms

The signup form provides links to these terms and explains that selecting the account-creation button means you agree to be bound by them. This also applies when you create a new account by selecting Continue with Google after being shown that notice. You acknowledge our Privacy Policy.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction. If you are using SOPFlow on behalf of an organization, you represent that you have the authority to do so.

3. Your account

You are responsible for the accuracy of the information you provide at signup, for keeping your password confidential, and for all activity that occurs under your account. Notify us immediately at admin@sopflow.io if you suspect unauthorized access. We offer email verification and two-factor authentication by email code — use them.

4. Your content

You retain all rights to the content you create and upload inside SOPFlow — org charts, SOPs, phases, steps, files, comments, and any other workspace data. You grant SOPFlow a worldwide, non-exclusive, royalty-free license to host, display, process, transmit, and back up your content solely for the purpose of operating the service for you. This license terminates when you delete the content or close your account.

Customer names and logos

If you are authorized to represent an organization and create a business workspace after being shown the signup notice linking to these terms, you grant SOPFlow a limited, non-exclusive, worldwide, royalty-free permission to display your organization's business name and logo solely to identify it accurately as a SOPFlow customer on our website and in digital marketing materials. You represent that you have the authority to grant this permission. Your organization retains ownership of its name and logo. We will use only logos you supply or specifically approve, respect brand guidelines you provide, and make no changes other than proportional resizing or formatting needed for display.

This permission does not authorize access to or publication of private workspace content, personal names or photographs, testimonials, or case studies. It does not permit us to imply your organization's endorsement, sponsorship, or partnership. Those uses require separate permission.

You can opt out before any display or at any later time by emailing admin@sopflow.io. Opting out does not affect your access to SOPFlow. On opt-out or workspace closure, we will stop new uses and remove the name and logo from digital materials under our control within 30 days. This permission does not apply retroactively to existing workspaces; we will obtain separate permission before identifying those organizations as customers.

5. Our content

The SOPFlow software, website, brand, logo, UI, documentation, and any other materials provided by us remain our exclusive property. These terms do not grant you any right to copy, redistribute, or reverse engineer the service.

6. Acceptable use

You agree not to:

  • Use the service for any illegal activity or to violate anyone's rights.
  • Upload malware, ransomware, or any other malicious code.
  • Harass, threaten, defame, or impersonate any person or organization.
  • Infringe any intellectual-property, privacy, or publicity right.
  • Scrape, crawl, mass-download, or otherwise extract data from the service using automated tools without our written permission.
  • Circumvent, disable, or interfere with any security feature, rate limit, or access control.
  • Probe, scan, or stress-test the service without explicit written permission (but see our security policy for responsible disclosure).
  • Use the contact form to send unsolicited commercial email, spam, or chain letters.
  • Misrepresent your affiliation with a person or organization.
  • Submit content that violates the rights of any third party.

We reserve the right to suspend or terminate any account that materially violates this section, with or without notice, at our sole discretion.

7. Subscription plans and payment

Subscriptions and allowances are shown on the pricing page and in workspace billing. Where payment is enabled, Stripe handles checkout and the billing portal. Review the price, billing interval, trial terms, and next charge date before confirming. Prices and limits may change with 30 days’ notice to active users; changes do not apply retroactively to periods already paid for.

8. Free tier

We offer a free tier of the service with the limits listed on the pricing page. We may modify or discontinue the free tier at any time, but if we do, we will give existing free accounts at least 30 days' notice and an opportunity to export their data.

9. Suspension and termination

We may suspend or terminate your account if you materially violate these terms, fail to pay, create a security or legal risk for the service or its users, or if we are compelled to by law. We will use commercially reasonable efforts to notify you before suspending an account, unless the suspension is urgent. After termination, we will retain your data for 30 days so you can request an export; after that, it is permanently deleted except where we are required to retain it by law.

You may terminate your account at any time by contacting us at admin@sopflow.io and asking for account deletion.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE, RELIABLE, OR AVAILABLE AT ALL TIMES. Your sole remedy for dissatisfaction is to stop using the service.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOPFLOW, ITS OPERATORS, OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100) IF YOU ARE ON THE FREE TIER.

12. Indemnity

You agree to defend, indemnify, and hold harmless SOPFlow and its operators from any claim, demand, loss, or liability arising out of (a) your content, (b) your use of the service, (c) your violation of these terms, or (d) your violation of any law or third-party right.

13. Governing law

Contact us at admin@sopflow.io so we can try to resolve a concern about the service. These terms do not limit mandatory consumer protections. Governing law and court jurisdiction are determined under applicable law.

14. Changes to these terms

We may update these terms from time to time. If we make a material change, we will email all active account holders at least 30 days before the change takes effect. Your continued use of the service after the change indicates acceptance. If you don't agree, you can terminate your account.

15. Miscellaneous

  • Entire agreement. These terms, together with our Privacy Policy, are the entire agreement between you and us regarding the service.
  • Severability. If any provision is found unenforceable, the rest remain in effect.
  • Waiver. Our failure to enforce a provision is not a waiver of that provision.
  • Assignment. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • No agency. These terms do not create any agency, partnership, joint venture, or employment relationship.

16. Contact

Questions about these terms? Email admin@sopflow.io or use the contact form.

17. Optional SMS customer care

SOPFlow SMS customer care covers requested support case updates, callback arrangements, and account assistance. This programme does not send advertising or promotional messages. SMS service can begin only after carrier registration and activation; while setup is pending, contact sales@sopflow.io or call +1 786 984 8555.

A representative asks for your express permission to send these texts to the mobile number you provide during a support conversation and records your answer and the date. SMS is optional and is not a condition of purchasing or using SOPFlow. Permission for calls, email, or call recording is separate from permission for SMS.

Message frequency varies with your support requests. Message and data rates may apply under your mobile plan. Delivery depends on your carrier and network; carriers are not responsible for delayed or undelivered messages. This programme is not an emergency service.

Reply STOP to opt out. You will receive a confirmation and no further support texts unless you give renewed consent. Reply HELP for help, email sales@sopflow.io, or call +1 786 984 8555. Replying START requests messages again; a representative must verify and record renewed consent before further support texts are sent.

Read the SMS privacy notice for how we handle mobile information, message contents, consent, and opt-out records. We do not sell or share these records for third party marketing or promotion.
